1. Purpose & Scope
This Bundle & Setup Purchase Agreement ("Agreement") governs the purchase and delivery of one-time setup services offered by Alvarez Marketing Solutions under the SPRKLaunch platform. These services include individual add-ons referred to as "Charms" and bundled setup packages including the SPRK Starter Bundle, Growth Bundle, and Full Launch Bundle (collectively, "Setup Services").
This Agreement is incorporated into and forms part of the SPRKLaunch Platform Subscription Agreement and Terms of Service. By purchasing any Charm or bundle, you ("Client," "you," or "your") agree to be bound by the terms of this Agreement.
This Agreement applies only to one-time setup services. Ongoing monthly subscription terms are governed separately by the Platform Subscription Agreement.
2. Setup Services — What's Included
2.1 Scope of Services
Each Charm and bundle has a defined scope of services as listed on the Company's website at the time of purchase. The Company will perform the setup work described in that scope — no more and no less. Current bundle offerings and their included services are described at alvarezmarketingsolutions.com/sprklaunch.
Setup Services may include, depending on the specific Charm or bundle purchased:
• Platform configuration and account setup
• Email and/or SMS marketing setup and opt-in flow configuration
• Automation and workflow buildout
• Website or funnel creation
• Form and survey setup
• Review and reputation management configuration
• CRMConnector integration setup
• Booking and appointment system configuration
• Other features as specified in the purchased Charm or bundle
2.2 Services Not Included
Unless explicitly listed in the purchased Charm or bundle, the following are not included in Setup Services:
• Ongoing management, monitoring, or maintenance of configured features after delivery
• Content creation such as copywriting, graphic design, or photography
• Ad account creation or management
• Additional setup work beyond the defined scope of the purchased Charm or bundle
• Training or coaching beyond the walkthrough call or video provided at delivery
Any work requested by Client that falls outside the scope of their purchased Charm or bundle will be quoted separately as an additional Charm or service. The Company will not perform out-of-scope work without a separate purchase agreement.
3. Pricing & Payment
3.1 Pricing
Charm and bundle pricing is listed on the Company's website at the time of purchase. All prices are in U.S. dollars. The Company reserves the right to update pricing at any time; however, price changes will not affect purchases already completed.
3.2 Payment
Full payment for all Charms and bundles is due at the time of purchase. Payment is processed through Stripe using the payment method provided at checkout. Setup work will not begin until payment has been successfully processed and confirmed.
3.3 Non-Refundable
All Charm and bundle purchases are final and non-refundable. Once payment is processed, no refunds will be issued for any reason, including but not limited to:
• Change of mind or decision not to use the Platform
• Failure to provide required information or access in a timely manner
• Dissatisfaction with the completed setup
• Business closure or decision to cancel the SPRKLaunch subscription
• Abandonment of the setup process by Client
This no-refund policy applies because Setup Services involve work performed, intellectual property shared, and platform resources allocated by the Company that cannot be undone or reclaimed once the process has begun.
4. Client Responsibilities
4.1 Information & Access
Timely and complete delivery of your Setup Services depends on your cooperation. To allow the Company to complete your setup, you agree to provide all required information, credentials, and access in a timely manner. This may include:
• Social media account access or delegated page permissions
• Google Business Profile or Google account access
• Payment processor credentials or API keys
• Business branding assets including logos, brand colors, and photos
• Business information such as service descriptions, pricing, and booking preferences
• Any other platform credentials or content necessary to complete the purchased setup
4.2 Response Time
To keep your setup on track, Client agrees to respond to any requests for information, feedback, or approvals from the Company within five (5) business days. If Client does not respond within this window, the Company will pause the setup until Client responds. Setup timelines are not guaranteed and will be adjusted to account for any delays caused by Client's non-response.
4.3 Abandoned Setup
If Client fails to respond to the Company's requests for fourteen (14) consecutive calendar days, the setup will be considered abandoned. In the event of abandonment:
• No refund will be issued for the abandoned Charm or bundle.
• Any work completed up to the point of abandonment will remain in Client's account.
• If Client wishes to restart the setup after abandonment, the Company may require a new purchase depending on the scope of work remaining.
• The Company is not responsible for any delays, missed opportunities, or business impact resulting from an abandoned setup.
4.4 Accuracy of Information
Client is responsible for ensuring that all information, content, and credentials provided to the Company are accurate, complete, and legally owned or authorized for use. The Company is not responsible for errors, omissions, or legal issues arising from inaccurate or unauthorized information provided by Client.
4.5 Credential Security
Any credentials or account access shared with the Company for setup purposes should be updated or revoked by Client after setup is complete if their security practices require it. The Company handles all shared credentials with strict confidentiality and uses them solely for the purpose of completing the purchased setup.
5. Delivery & Completion
5.1 Delivery Timeline
Setup timelines vary by Charm and bundle and depend on the complexity of the services purchased, the Company's current workload, and Client's timely provision of required information and access. Estimated timelines for each bundle and Charm are provided on the Company's website and are estimates only — they are not guaranteed delivery dates.
The Company will make reasonable efforts to complete setup within the estimated timeframe. Delays caused by Client non-response, incomplete information, or third-party platform issues are not the Company's responsibility and will extend the timeline accordingly.
5.2 Delivery Method
Upon completion of your setup, the Company will deliver your finished work through one or both of the following methods:
• A live walkthrough call with Client to review the completed setup and answer questions.
• A recorded walkthrough video sent to Client's email address on file, reviewing the completed work.
The delivery method will be determined based on Client's preference and availability. Client agrees to schedule their walkthrough call within a reasonable timeframe after being notified that setup is complete. If Client is unreachable for delivery, the Company will send a recorded walkthrough video and consider the setup delivered.
5.3 Completion
Setup is considered complete and delivered upon the earlier of: (a) completion of the live walkthrough call; or (b) delivery of the walkthrough video to Client's email address on file.
6. Revisions
6.1 One Round of Revisions
Each Charm and bundle purchase includes one (1) round of revisions at no additional charge. A "round of revisions" means a single consolidated list of changes submitted by Client after delivery. The Company will complete all reasonable revisions included in that single submission.
6.2 Submitting Revisions
To request revisions, Client must submit a written list of requested changes to [email protected] within seven (7) calendar days of delivery. Revision requests submitted after this window may be treated as new work and quoted separately.
6.3 Scope of Revisions
Revisions are limited to adjustments within the original scope of the purchased Charm or bundle. Revisions do not include new features, additional automations, new pages, or any work that falls outside the defined scope of the original purchase. Requests for out-of-scope changes will be quoted as a new Charm or service.
6.4 Additional Revisions
Any revisions beyond the included one round, or revisions that fall outside the original scope, will be quoted and billed separately. The Company will provide a written quote before proceeding with any additional work.
7. Scope & Additional Work
The Company is committed to delivering exactly what is described in each Charm and bundle — nothing more and nothing less. If, during the setup process, Client requests work that falls outside the purchased scope, the Company will:
• Notify Client that the requested work is outside the current scope.
• Provide a written quote for the additional work as a separate Charm or service.
• Proceed with the additional work only after Client has completed a separate purchase.
The Company will not perform out-of-scope work without written authorization and separate payment. Verbal agreements or informal requests for additional work are not binding on the Company.
8. Intellectual Property
8.1 Company IP
All templates, frameworks, automation structures, funnel designs, workflow logic, and other proprietary systems used or created by the Company during the setup process remain the intellectual property of Alvarez Marketing Solutions. Client is granted a limited, non-exclusive license to use these elements within their SPRKLaunch account for their own business operations during their active subscription.
8.2 Client Content
All content provided by Client — including logos, brand assets, copy, photos, and business information — remains the intellectual property of Client. By providing this content to the Company for setup purposes, Client represents and warrants that they own or have the right to use all such content and that its use by the Company for setup purposes does not infringe any third-party rights.
8.3 Upon Cancellation
Upon cancellation or termination of Client's SPRKLaunch subscription, the license to use Company IP within the Platform terminates. Client's own content and contact data will be handled as described in the Platform Subscription Agreement.
9. Limitation of Liability
THE COMPANY'S LIABILITY IN CONNECTION WITH ANY CHARM OR BUNDLE PURCHASE SHALL BE LIMITED TO THE AMOUNT PAID BY CLIENT FOR THAT SPECIFIC CHARM OR BUNDLE. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SETUP SERVICES, INCLUDING BUT NOT LIMITED TO LOST REVENUE, LOST OPPORTUNITIES, OR BUSINESS INTERRUPTION.
The Company is not responsible for any issues arising from third-party platforms, integrations, or services used during or after setup, including but not limited to payment processor API limitations, social media platform policy changes, or Google Business Profile restrictions.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes arising out of or related to this Agreement shall be resolved in accordance with the dispute resolution process described in the SPRKLaunch Platform Subscription Agreement.

ACKNOWLEDGMENT & ACCEPTANCE
By completing a purchase of any Charm or bundle, Client confirms that they have read, understood, and agree to be bound by the terms of this Bundle & Setup Purchase Agreement.
